This promotion is intended for play and participation in the 50 United States and District of Columbia only and shall be construed and evaluated according to the laws of the United States.  Please do not enter this promotion unless you are a legal resident of one of the 50 United States or the District of Columbia and meet all eligibility requirements described below.

 

THE 2008 KFC® YOUNG HITMAKERS CONTEST

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN.

Contest Theme:  Eligible participants ages 16 and up are invited to submit an original musical composition for an opportunity to win a Home Studio Package or to have their song included in a KFC Pride 360 Compilation. Enter as many songs as you wish. Songs must be received by July 31, 2008. Every song entered will have an individual ringtone created for it, which will be offered for downloading to the public with proceeds to go to charity! Contest winners will be chosen by KFC, your votes, and a special celebrity judge, Mr. Bryant Reid!

 

1.    ELIGIBILITY:  The 2008 KFC® Young Hitmakers Contest (the "Contest") is open only to legal residents of the 50 United States and Washington DC, who are at least 16 years of age ("Entrant"), performing solo or as a group of no more than 5 persons.  Any group submitting an entry must identify one member of that group to be the official Entrant. Members of the public and employees of KFC Corporation ("Sponsor" or "KFCC") or its franchisees meeting the age and residency requirements above ("KFC Employees") are eligible to enter. Employees of KFC National Council and Advertising Cooperative, Inc. ("NCAC"), Black Entertainment Television ("BET"), and each of their respective parent companies, affiliates, subsidiaries, franchisees, licensees and advertising and promotion agencies, and the immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in the same household of each, whether or not related, are not eligible to enter or win.  Void where prohibited.  Contest is subject to all applicable federal, state and local laws.

 

2.    HERE'S HOW TO ENTER: Eligible Entrants are invited, whether as a solo act or with a group of no more than 5 persons, to compose, perform and record an original musical composition ("Song" - see requirements below), which expresses the themes of KFC's "Pride 360" endeavors (see www.kfc.com/pride360). Then, beginning at 8:00 a.m. Eastern Time ("ET") on  June 2, 2008 through 11:59 p.m. Eastern Time ("ET") on July 31, 2008 (the "Entry Period"), submit the entry by completing an Official Entry Form, available at www.kfc.com/pride360, and uploading the Official Entry Form and Song at www.kfc.com/pride360 according to the directions on that website. Alternatively, submit the Song along with the printed Official Entry Form or a single piece of paper containing the Entrant's (and, if applicable, other group members') names, address(es), daytime phone number(s) (with area code), parent's or guardian's name (if Entrant is a minor in his/her state of residence) and email address (if any) sized no larger than 8 ½ x 11 inches in an envelope with proper postage affixed to: The KFC® Young Hitmakers Contest, KFC Corporation Marketing Department, 1441 Gardiner Lane, Louisville, KY 40213.  No other method of entry is allowed. Eligible Entrants may submit as many Songs as they wish for consideration in the Contest; however, each Song must be submitted as a separate entry and will be considered individually. All entries must be received by July 31, 2008.

 

KFC Employees must meet all eligibility requirements and otherwise comply with all directions for submitting a Song and participating in the Contest as specified in these Official Rules. Participation in the Contest is strictly voluntary, and KFC Employees must complete their entries on their own time without using any resources from their place of employment. All entries, whether from KFC Employees or members of the public, will be judged equally and individually.

 

3.    SONG REQUIREMENTS AND OWNERSHIP: Entries must consist of one Song or audio track or composition no less than two (2) minutes and no longer than six (6) minutes in length, with words/lyrics in the English language (no instrumentals), and submitted in the form of an uncompressed MP3 file (professionally produced and homemade tracks are both acceptable). The Song must contain an entirely original composition and performance solely written and performed by the Entrant (or another member or members of the Entrant's group, if applicable). The Song may be in any musical style and should express the signature themes of KFC's Pride 360 initiatives as expressed in the Pride 360 keywords: Individual, Family, Community, and Heritage. The song should not be an "advertising jingle" and may, but is not required to, make reference to KFC, its heritage and food.

 

The entry (i) must be an original work not incorporating any music samples or other work of any third party, (ii) may not have been previously published or submitted, (iii) must be in keeping with the Sponsor's image, (iv) may not be inappropriate or offensive, as determined by the Sponsor in its sole discretion, and (v) must not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's copyrights, personal or property rights or any other third party rights. Sponsor reserves the right to disqualify any entry that, in the sole opinion of Sponsor or its designees and the judges of the Contest, is inappropriate or offensive or refers, depicts or in any way reflects negatively upon Sponsor or the Contest, that does not comply with these Official Rules or is deemed unacceptable in any other way.

 

Entries become the sole property of NCAC and KFCC and none will be returned.

 

4.   RINGTONES:      An individual cellphone ringtone will be created from each eligible entry received during the Entry Period by a vendor chosen by Sponsor in its sole discretion. The vendor will make these ringtones available for purchase by the public, with all proceeds from the sale of the ringtones to be donated to a charity chosen by Sponsor in its sole discretion. By entering the contest, Entrants agree that the ringtones also become the sole property of NCAC and KFCC, to assign all copyrights and other intellectual property rights in and to the ringtones to NCAC and KFCC, and that Entrant shall receive no compensation from the any sales of the ringtones.

 

5.   VOTING AND JUDGING: All eligible entries received by the end of the Entry Period from members of the public and KFC employees will be made available on the Pride 360 website, www.kfc.com/Pride360.com, for listening and judging by visitors to the website. Twelve (12) Songs will be chosen as Ultimate Prize Winners to be included on a special compilation of Pride 360 songs. The twelve Winners will be chosen through a three-fold evaluation process, weighted as follows: 1)Online Voting (20%); 2)a panel of independent judges chosen by Sponsor in its sole discretion (40%); 3)evaluation by a celebrity judge chosen by Sponsor in its sole discretion (40%).

 

      Voting: Beginning August 4, 2008, 2008 at 8:00 Eastern Time, and continuing through 11:59 pm Eastern Time August 15, 2008 (the "Voting Period"), visitors to the Pride 360 website may vote for their favorite song. A visitor to the site meeting the eligibility requirements for voting as set forth there will have the opportunity, during the Voting Period, to vote for the Song he/she thinks is the best based on the criteria of Originality, Creativity, Musical Artistry, Integration of Pride 360 keywords, themes and messages, and Appropriateness to the Image of KFC. A voter must follow instructions on the Pride 360 website to submit his/her vote. Limit one (1) vote per person and per email address. Subsequent votes by a single person or email address will be disqualified. Votes generated by script, macro or other automated means or by any other means intended to impact the integrity of the voting process, as determined by Sponsor, in its sole discretion, will be void. Entrants are prohibited from obtaining votes by any fraudulent or inappropriate means as determined by Sponsor in its sole discretion, including, without limitation, by offering prizes or other inducements to members of the public. The celebrity judge and the panel of judges chosen by Sponsor will also evaluate all eligible entries by the end of the Voting Period. The votes and the decisions of all judges will be tabulated to select the Twelve Ultimate Prize Winners.

 

6.   Grand Prize Winner Determination: After the selection of the twelve Winners as described above, the celebrity judge will select, in his own discretion, on or about August 29, 2008, one Song to be declared the Grand Prize Winning Song, based on the criteria described above, and one Song to be declared the Bronze Winner, and the Entrants who submit these Songs will be declared the Grand Prize Winner and Bronze Winner, respectively. The decision of the celebrity judge is final and binding.

 

7.   WINNER NOTIFICATION: Potential Ultimate Prize Winners and the Grand Prize and Bronze Winners will be notified by mail and/or phone and will be required to execute and return an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form and, where legal, a Publicity Release within three (3) days of date of attempted notification.  Noncompliance with this time period, with these Official Rules or the return of any prize/prize notification as undeliverable may result in disqualification and, at Sponsor's discretion, an alternate Winner will be selected and notified.  Prizes will be awarded only in the name of the person who signed the Official Entry Form, even if the winning entry is from a group, and who will be required to fulfill all requirements imposed on Winners set forth herein. If the Winner is considered to be a minor in his or her state of residence, at Sponsor's option, the applicable prize either will be awarded to the minor Winner's parent or legal guardian on behalf of the Winner, or the parent or legal guardian of the minor Winner will be required to ratify and sign any required documents.

 

8.   PRIZES AND APPROXIMATE RETAIL VALUE ("ARV"): The Grand Prize and Bronze Winners and the remaining 10 Winners will receive the Ultimate Prize of having their Songs collected and included on a Pride 360 compilation created by Sponsor. The compilation may also include additional musical selections chosen by Sponsor in its sole discretion. The Songs individually, and the compilation in its entirety, will be made available for purchase, with all proceeds from the purchase being donated to a charitable organization chosen by Sponsor in its sole discretion, with no compensation from the proceeds of the sale due to any Winner. Estimated retail value: $7.50.

 

The Grand Prize Winner, in addition to having his or her Song included in the compilation, will receive a Home Studio system, including the equipment necessary to create a professional quality home recording studio.

 

Estimated Retail Value of Grand Prize, which includes shipping: $3500.00

 

The Bronze Prize Winner, in addition to having his or her Song included in the compilation, will receive a Home Studio Equipment Package.


Estimated Retail Value of Bronze Prize, which includes shipping: $1,000

 

Winners are responsible for all federal, state and local taxes as well as any other costs and expenses associated with the acceptance and use of a prize not specified herein as being awarded.  Prizes are not transferable, redeemable for cash or substitutable, except by Sponsor who reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion.  Prizes are awarded "as is" with no warranty or guarantee, either express or implied by Sponsor.  All prize details are at Sponsor's sole discretion.

 

9.   OWNERSHIP/USE: By submitting an entry, each Entrant assigns to and agrees that NCAC and KFCC shall own the entry submitted and any ringtone created from the entry as described elsewhere in these Official Rules (including without limitation the design and all copyright and other rights embodied therein) and that NCAC and/or KFCC and their designees may exploit, edit, modify, and distribute the entry and all elements of such entry, including, without limitation, the names of any persons or locations embodied therein, in any and all media now known or not currently known, throughout the world in perpetuity without compensation, permission or notification to Entrant or any third party.

 

10. GENERAL RULES: By entering, Entrants agree (i) to the use by BET, Sponsor and its designees and NCAC and its designees of their names, cities and states of residence, likenesses and entries, for advertising and promotional purposes in any and all media now known or not currently known, throughout the world in perpetuity without compensation, permission or notification, unless prohibited by law; (ii) to release, discharge and hold harmless BET, Sponsor, NCAC, and all of their respective parent companies, affiliates, subsidiaries, franchisees, licensees and advertising, fulfillment and promotion agencies, and all of their respective officers, directors, shareholders, employees, agents, attorneys and other representatives (collectively, the "Released Parties"), from and against any and all liability, injury and damages caused, or claimed to be caused, directly or indirectly, by participation in this contest or the acceptance, use or redemption of any prize (including any travel or activity related thereto); and (iii) to be bound by these Official Rules and the decisions of the Sponsor and judges, which are final and binding in all matters.  In the event of a dispute as to identity of an entrant, entries will be deemed made by the person (or, at Sponsor's option, the parent or legal guardian if the Entrant is a minor in his/her state of residence) who signs and submits the Official Entry Form and such individual will be responsible for complying with these rules.  Sponsor reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Official Rules and/or this Contest for any reason including if: (a) delays in mail delivery, viruses, bugs, unauthorized human intervention, fraud, technical failure or other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion; or (b) earthquake, flood, fire, storm or other natural disaster, act of God, labor controversy or threat thereof, civil disturbance or commotion, terrorism, disruption of the public markets, war or armed conflict (whether or not officially declared). Released Parties are not responsible for late, lost, incomplete, stolen, garbled, inaccurate, delayed, undelivered, misdirected or postage-due entries or mail or for any technical problems, malfunctions of any telephone lines, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof.  If, in the judges' opinion, there is any suspected or actual evidence of tampering with any portion of the contest, or if technical difficulties, unauthorized human intervention, viruses, bugs or other causes compromise the integrity of the contest, the judges reserve the right to terminate the contest and, at their discretion, judge only those eligible, non-suspect entries received as of the date of termination.  Released Parties are not responsible for any other errors or problems of any kind, whether computer, network, technical, mechanical, typographical, printing, human or otherwise, relating to or in connection with the contest, including, without limitation, errors or problems which may occur in connection with the presentation or administration of contest, the processing or judging of entries, the online voting process or the tabulation of votes, prize announcement or in any contest-related materials.  Released Parties are also not responsible for providing any Internet access or usage, nor for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this contest.
